1. Introduction & Acceptance of Terms

These Terms and Conditions govern your access to and use of the website novaxistechnologies.in and your engagement of Novaxis Technologies for professional services. By accessing the website, submitting an enquiry, requesting a proposal, signing a project agreement, approving a Statement of Work, or otherwise engaging Novaxis Technologies, you acknowledge that you have read, understood and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company, firm, partnership or other legal entity, you represent that you have authority to bind that entity. If you do not agree with these Terms, you should not use the website or engage Novaxis Technologies for services.

2. Services Provided

Novaxis Technologies provides software development and digital services including custom CRM systems, custom ERP systems, SaaS platforms, mobile applications, website development, web applications, digital marketing, automation workflows, integrations, analytics dashboards, technical consulting and related support services.

The exact scope, deliverables, timelines, fees, acceptance criteria, support obligations and exclusions for any project will be defined in a separate proposal, quotation, project agreement or Statement of Work. In the event of a conflict between these Terms and a signed Statement of Work, the signed Statement of Work will prevail only for the specific project to which it relates.

3. Client Responsibilities

The client agrees to provide timely feedback, accurate requirements, business rules, brand assets, content, system access, approvals, data, third-party credentials and any other information reasonably required for project execution. The client must appoint an authorized representative who can provide approvals, clarify requirements and make decisions on behalf of the client.

Delays in providing feedback, approvals, content, access, payment or required information may result in revised timelines, additional costs or rescheduling of project milestones. The client is responsible for ensuring that materials supplied to Novaxis Technologies do not infringe third-party rights and are lawful for use in the project.

4. Payment Terms

Unless otherwise agreed in writing, custom projects are billed on a milestone basis with a 50% advance payment required before commencement of work. Subsequent invoices are issued according to the approved project milestones, deliverables or payment schedule.

Invoices are due within 7 working days from the invoice date. Late payments may attract interest at 2% per month or the maximum amount permitted by applicable law, whichever is lower. Novaxis Technologies may pause work, withhold delivery, suspend support or restrict access to unpaid deliverables until overdue amounts are cleared.

All prices are quoted in Indian Rupees unless expressly stated otherwise and are exclusive of GST and other applicable taxes at prevailing rates. Bank charges, payment gateway fees or foreign exchange costs, if any, are the client’s responsibility.

5. Intellectual Property

Upon full and final payment of all amounts due for a project, the client will own the project-specific final deliverables expressly created for the client, subject to any third-party licenses, open-source licenses, SaaS subscriptions or platform terms applicable to components used in the project.

Novaxis Technologies retains ownership of its general methodologies, ideas, know-how, reusable frameworks, libraries, tools, templates, workflows, non-client-specific code, pre-existing intellectual property and development techniques. Nothing in these Terms transfers ownership of Novaxis Technologies’ background intellectual property unless specifically agreed in writing.

Novaxis Technologies may mention the project, client name, general project description, screenshots and non-confidential outcomes in its portfolio, website, social media, case studies and marketing materials unless a written non-disclosure agreement or project agreement prohibits such use.

6. Confidentiality

Both parties agree to maintain the confidentiality of business, technical, financial, customer, operational and project information disclosed by the other party that is marked confidential or would reasonably be understood to be confidential. Confidential information may be used only for purposes of discussing, delivering, supporting or administering the project.

Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed without use of confidential information, or required to be disclosed by law, court order or government authority. These confidentiality obligations survive termination or completion of the project for 3 years.

7. Warranties & Disclaimers

Novaxis Technologies provides a 90-day bug fix warranty after final delivery for defects that materially prevent the delivered custom software from functioning according to the agreed scope. This warranty applies only to issues attributable to Novaxis Technologies’ work and reported with sufficient detail during the warranty period.

The warranty does not cover changes in requirements, new feature requests, third-party integration failures, hosting outages, browser or platform changes, client-side modifications, misuse, data issues, security incidents caused by client negligence, expired subscriptions, or problems caused by third-party software and services.

Except as expressly stated, services and deliverables are provided on an “as is” and “as available” basis. Novaxis Technologies does not guarantee uninterrupted operation of third-party services, specific marketing results, search rankings, revenue outcomes or compatibility with systems not disclosed during the project scope.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the total liability of Novaxis Technologies for any claim arising out of or relating to a project, website use or services will be limited to the total fees actually paid by the client to Novaxis Technologies for the specific project giving rise to the claim.

Novaxis Technologies will not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, loss of revenue, loss of business opportunity, data loss, reputational harm, downtime, procurement of substitute services or interruption of business, even if advised of the possibility of such damages.

9. Termination

Either party may terminate a project engagement by giving 15 days’ written notice to the other party, unless a separate project agreement states otherwise. Upon termination, the client must pay for all work completed, time spent, committed costs, third-party expenses and approved deliverables up to the effective termination date.

Novaxis Technologies may suspend or terminate services immediately if the client materially breaches these Terms, fails to make payment, misuses deliverables, requests unlawful work, violates third-party rights, or creates a risk to Novaxis Technologies, its team, infrastructure or reputation. Upon termination, licenses to unpaid work may be withheld until full payment is received.

10. Governing Law & Dispute Resolution

These Terms and all project engagements are governed by the laws of India. Subject to the dispute resolution process described below, the courts at Ahmedabad, Gujarat, India will have jurisdiction over disputes arising from or relating to these Terms or services.

The parties agree to first attempt to resolve disputes through good-faith negotiation. If the dispute is not resolved through negotiation, it will be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Ahmedabad, Gujarat, India, and the arbitration proceedings will be conducted in English unless otherwise agreed.

11. Amendments

Novaxis Technologies reserves the right to update these Terms from time to time to reflect changes in law, services, business practices or operational requirements. Where materially significant changes affect active clients, Novaxis Technologies will make reasonable efforts to provide 30 days’ notice by email or through another appropriate communication channel.

Continued use of the website or continued engagement of services after updated Terms become effective constitutes acceptance of the updated Terms.
